1. Acceptance of the Terms
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and any policies referenced herein. If you use the Service on behalf of an entity, you represent that you have authority to bind that entity.
2. Eligibility
You must be able to form a binding contract in your jurisdiction to use the Service. The Service is not directed to persons who are legally prohibited from receiving such services under applicable laws.
3. Accounts, Credentials, and Security
Some features may require you to create an account or provide contact details. You agree to provide accurate, current information and to keep it updated.
You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must promptly notify us if you suspect unauthorized access.
4. Acceptable Use
You agree not to misuse the Service. Without limitation, you must not:
- Violate any applicable law, regulation, or third-party rights.
- Attempt to gain unauthorized access to any systems, accounts, or data.
- Interfere with or disrupt the integrity or performance of the Service (including by scraping, automated queries, or denial-of-service actions).
- Upload, transmit, or distribute malware or harmful code.
- Post or transmit content that is unlawful, misleading, defamatory, abusive, or infringing.
- Use the Service to send unsolicited communications or to harvest personal data without a lawful basis.
5. Listings, Content, and Intellectual Property
The Service may display studio listings, availability, pricing estimates, and other informational content. We strive for accuracy but do not guarantee that any content is complete, current, or error-free.
You may view and use the Service for personal or internal business evaluation purposes. Except where permitted by mandatory law, you may not copy, modify, distribute, sell, or lease any part of the Service or included content without prior written permission.
If you submit content to the Service (including inquiries, reviews, or listing details), you represent that you have the necessary rights to do so and that your submission complies with these Terms. You grant us a non-exclusive, worldwide, royalty-free license to host, reproduce, and display such content solely to operate and improve the Service.
6. Bookings, Studio Policies, and Third-Party Services
The Service may enable you to request bookings or contact studios. Studios are independent third parties. Any booking, cancellation, rescheduling, and on-site rules are governed by the studio’s own policies and your agreement with that studio.
We are not responsible for the acts, omissions, or services of studios or other third parties. Your interactions with third parties are between you and the third party. If a dispute arises, you agree to address it directly with the relevant third party.
7. Payments and Fees
Some transactions may involve fees, deposits, or third-party payment processors. Where applicable, payment terms will be presented at the point of transaction. You authorize charges consistent with your selections.
Unless stated otherwise, taxes, bank fees, currency conversion costs, and any third-party charges are your responsibility. Refunds, if any, depend on the applicable cancellation and refund policy.
8. Privacy and Cookies
We process personal data in accordance with our privacy practices and applicable laws. We may use cookies and similar technologies for essential functionality, preferences, and analytics where permitted.
You can manage cookie preferences via the cookie banner and through your browser settings. Blocking certain cookies may affect functionality.
9. Disclaimers
The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected. Any reliance on the Service is at your own risk.
10. Limitation of Liability
To the maximum extent permitted by law, RecoRoom and its affiliates, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Service.
To the maximum extent permitted by law, our aggregate liability for all claims relating to the Service will not exceed the amount you paid to us (if any) for use of the Service in the twelve (12) months preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability. In such cases, the limitations above apply to the extent permitted by applicable law.
11. Indemnity
You agree to indemnify and hold harmless RecoRoom and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service, (b) your content, (c) your violation of these Terms, or (d) your violation of any rights of a third party.
12. Suspension and Termination
We may suspend or terminate access to the Service at any time if we reasonably believe you have violated these Terms, if required to do so by law, or to protect the integrity, security, or availability of the Service.
You may stop using the Service at any time. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, and indemnity.
13. Governing Law and Jurisdiction
These Terms are intended to be global-ready and apply regardless of where you are located. Unless a specific local law requires otherwise, these Terms will be governed by the laws of a neutral jurisdiction, without regard to conflict-of-law principles.
Where permitted, you agree that courts of competent jurisdiction in that neutral venue will have exclusive jurisdiction. If mandatory consumer-protection laws in your jurisdiction apply, you may have additional rights and the venue may be non-exclusive to the extent required by law.
14. Changes to These Terms
We may update these Terms from time to time. The “Effective date” indicates when the latest version became operative. By continuing to use the Service after changes become effective, you agree to the updated Terms.
